The provisions of paragraphs 1 (Intellectual Property Rights), 2 (Your License to Us), 4 (Non-guarantee of Success), 5 (Linking), 6 (Prohibited Content), 7 (Content Management and Removal), 8 (Non-Endorsements), 9 (Use of Website, Disclaimers, and Limitations of Liability), 10 (Indemnification) shall survive termination of this Agreement.

Governing Law

These Terms of Use shall be governed and construed in accordance with and governed by the laws of the United States and applicable to agreements made and to be performed in United States of America. You agree that any legal action or proceeding between Nikkiforos and you for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the State of Wyoming, United States of America. Any cause of action or claim you may have must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Nikkiforo’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Nikkiforos may assign its rights and duties under this Agreement to any party at any time without notice to you.

Any rights of Nikkiforos not expressly granted herein are reserved.

Enforceability

The Terms of Use constitute the entire Agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter.

The invalidity or unenforceability of any section, paragraph, or provision of this Agreement shall not affect the validity or enforceability of the remaining portions. If any part of this Agreement is found to be invalid or unenforceable, there shall be permitted to be made such minor changes (and only such minor changes) as are necessary to make it enforceable and valid.
